What YOU will do: 

The Senior Corporate Counsel reports directly to the ST Engineering North America General Counsel & Corporate Secretary and will serve as the company’s lead commercial counsel on a wide variety of matters. While commercial contracts will be your primary responsibility, you will also serve as a legal generalist, cross-functional connector, team player, and playmaker. You will join a lean and entrepreneurial legal team which thrives by matching individual skills, interests, and desires with the company’s growing legal needs. You will ideally fill gaps and gain new areas of legal responsibility as we scale the US legal organization.

 

Responsibilities:

  • Serve as the lead commercial attorney and a corporate generalist for a multi-billion-dollar conglomerate.
  • Draft, negotiate and manage the disposition of a wide variety of commercial and vendor agreements, including but not limited to, master service agreements, software licensing and SaaS agreements, all related statements of work, professional service agreements, non-disclosure agreements, RFPs, and purchase orders, to name a few.
  • Develop standard work and processes to operate more efficiently, including, playbooks, toolkits, templates, escalation guidelines, to name a few.
  • Evaluate and resolve contractual and operational disputes. 
  • Advise senior leadership on practical and pragmatic ways to mitigate a wide range of risks.
  • Partner with HR, Finance, and IT leaders on shared services projects involving Singapore parent company HQ, US HQ, and US subsidiaries. These projects may involve issues related to data privacy, export compliance, government contracts (FAR/DFAR and FOCI), etc.
  • Assist the General Counsel with routine corporate governance matters such as drafting board resolutions for multiple subsidiaries. 

 

  • Provide data privacy advice on special projects as well as establishing proactive data privacy guidelines and policies (partnering with outside counsel as needed).
  • Negotiate commercial leases as needed.
  • May assist other departments with corporate policy development where gaps exist across all relevant areas of law. 
  • Any and all other tasks that may be needed for the legal team and the company to succeed. 

 

Competencies and Qualifications

 

  • Combined 4-6 years of experience at a major law firm and/or in-house legal department. In-house legal department experience is preferred. 
  • Strong leadership skills with the ability to engage multiple levels of a global organization.
  • Extensive experience negotiating commercial agreements.
  • Experience with corporate governance and board resolutions, or a willingness to learn this area.
  • A commitment to and experience in process improvement protocols.
  • Experience in a multinational organization headquartered outside of the U.S. is a plus. 
  • Experience with data privacy laws and regulations is a plus, or a willingness to learn this area.
  • Excellent organizational skills, including the ability to manage multiple projects at once, follow through, and meet deadlines.
  • Strong written and oral communication skills.
  • You view yourself as a leader who can positively impact an organization's culture. 
  • Ability to thrive independently and collaborate like a champion.
  • Exceptional business acumen, analytical ability, curiosity, integrity, and people skills.
  • Someone who sees overwhelming challenges as large opportunities for impact.
  • Must own your work product and handle all matters like you own the company.
  • Juris Doctor (JD) degree from an ABA-accredited law school
  • Must be admitted to practice in (and in good standing with) at least one US jurisdiction and eligible for admission as a Virginia Corporate Counsel.
